GenSpend — Terms of Service

GenSpend helps you track, reconcile, and report your spending across third-party AI generation tools, and to attribute that spend to projects and clients (including generating client invoices). GenSpend is an independent product and is not affiliated with, endorsed by, or sponsored by any of the third-party vendors it helps you track.

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the activity under your account and for keeping your login credentials, API keys, and extension token secure. Notify us promptly of any unauthorized use. You agree to provide accurate account information and to keep it current.

Paid plans are billed in advance on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe. Your subscription renews automatically at the end of each billing period at the then-current rate until you cancel.

You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period, and you retain access until then. We offer a 30-day money-back guarantee on your initial purchase — if you are not satisfied within 30 days of your first payment, email admin@synthden.ai and we will refund that payment in full, no questions asked. After that 30-day window, and except where required by law, payments are non-refundable: we do not provide refunds or credits for renewals, partial periods, or unused features. We may change plan pricing on a prospective basis with reasonable notice; changes apply to your next renewal.

The Service observes and stores generation/usage data you choose to capture and any vendor API credentials you connect, solely to compute and display your spend and to produce the reports and invoices you request. You represent that you have the right to connect those accounts and to capture that data. Your use of each third-party tool remains governed by that vendor’s own terms; we are not responsible for third-party services, their availability, or their charges.

You agree not to:

• use the Service unlawfully or to infringe others’ rights;
• access another user’s data or attempt to breach security or access controls;
• probe, scrape, overload, or reverse-engineer the Service except to the limited extent that law expressly permits;
• resell or provide the Service to third parties except through features we offer; or
• upload malware or interfere with the Service’s operation or other users.

Spend figures are best-effort estimates and exact only where directly measured from a vendor’s billing data. They are provided for tracking, budgeting, and informational purposes and may differ from a vendor’s official invoice. You are responsible for verifying amounts before relying on them for billing a client, accounting, tax, or any other financial decision. GenSpend is a tracking tool, not an accountant, auditor, or system of record for your vendor charges.

The Service, including its software, design, and content, is owned by SynthDen LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. The data you connect or generate remains yours; you grant us the limited rights needed to operate the Service for you (for example, to store and process it to display your dashboard, reports, and invoices).

Our handling of data is described in our Privacy practices. We do not sell your data. You may disconnect a vendor, revoke your extension token, or delete your account at any time.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that spend figures will be complete or accurate.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTHDEN LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold SynthDen LLC harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your data, or your breach of these Terms.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (for example, accuracy disclaimers, IP, limitation of liability, and indemnification) will survive.

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of State of New Jersey, without regard to conflict-of-laws rules. You agree that venue for any dispute not subject to binding arbitration or a small-claims forum will be in the state and federal courts located in New Jersey.
